Welcome to TagAlng. These Terms of Service ("Terms") are a binding agreement between you and Phygtl, Inc., a Delaware corporation headquartered in San Francisco, California ("we," "us," "TagAlng"). They cover your use of the TagAlng app, the tagalng.com website, our SMS communications, and any related services (together, the "Service").
By creating an account, joining the waitlist, or using the Service in any way, you agree to these Terms. If you don't agree, please don't use the Service.
01Acceptance & eligibility
To use TagAlng, you confirm that all of the following are true:
- You are at least 18 years old.
- You are a real human being, not a bot, a scraper, or an agent acting on someone else's behalf.
- You are a mom (broadly defined: biological, adoptive, step, foster, kinship, expecting, or a parent who identifies with the role). TagAlng is a community organized around motherhood; if you are not a mom, this isn't the product for you.
- You are a resident of the United States at the time you create your account. (We may expand availability over time; for now, the Service is designed for US users.)
- You have the legal right to enter into these Terms.
- You are not on any US government list of restricted or sanctioned persons, and you are not located in a country subject to US embargo.
- You have not previously been banned from the Service.
We may verify any of the above at any time. If we discover that any is untrue, we can suspend or terminate your account.
02Your account
You create an account using your phone number. We verify it via SMS. You choose a nickname as your public display name (see Section 3). You're responsible for keeping your phone number secure, including the device that receives the SMS verification code. If you lose access to your phone, tell us at legal@phygtl.com.
You may only have one account. Don't create duplicates or alternate accounts to evade community guidelines or block other moms. We reserve the right to merge or close duplicate accounts.
You're responsible for everything that happens under your account. Don't share your access with anyone else.
03Nicknames & identity
TagAlng is nickname-default. Your nickname is what other moms see — typically a first name plus a last-name initial ("Marina M."). You can use a different first name, a chosen name, a name from your heritage — your choice, as long as it follows these rules:
- Recognizable to people who meet you in person. If a mom shows up at the park run and asks "Are you the Marina from TagAlng?", you should be able to say yes.
- Not impersonating a real person, celebrity, or another TagAlng user.
- Not offensive, hateful, sexually explicit, or designed to harass.
- Not a brand, business, or product name being used to market to other moms (see Community Guidelines).
Your real legal name is never displayed to other users by default. It can only be revealed to another user after the two of you have met in person at a TagAlng event and both confirmed "we met." Even then, the reveal is mutual and opt-in. See our Privacy Policy for the details.
04Community guidelines
TagAlng works because the moms on it are real moms acting in good faith. To keep it that way, you agree not to do any of the following:
Identity rules
- No proxy accounts. Don't create an account on behalf of someone else. Don't let a husband, partner, nanny, assistant, friend, or family member use your account or sign up "for you."
- No recruiters, staff, or agencies posing as moms. If you work for a brand, a network, an agency, or a recruiting firm, and you're using TagAlng as part of your job to find or reach moms, that's not allowed. The lone exception is if you happen to also be a mom and you participate as one — but you cannot use the Service to scout, source, or recruit.
- No fake personas. Your nickname must correspond to a real human (you).
Behavior rules
- No harassment, hate speech, or threats. No content that demeans people based on race, ethnicity, national origin, religion, sex, gender identity, sexual orientation, disability, or any other protected characteristic.
- No bullying or pile-ons. Disagree like grown-ups.
- No doxxing. Don't post another mom's real name, home address, employer, children's school, or any other identifying information she hasn't chosen to share.
- No sexually explicit content. No nudity, no pornography. TagAlng is not that kind of network.
- No content involving minors beyond non-identifying references (e.g., "mom of a 3-year-old" is fine; photos of identifiable children are not).
- No content that promotes self-harm, eating disorders, or other harmful behaviors.
- No illegal activity of any kind.
Commercial rules
- No commercial spam. Don't use TagAlng to sell products, services, MLM opportunities, courses, or affiliate links to other moms. The exceptions: hosting a community event that happens to be at your business (e.g., a yoga teacher who hosts a free moms' class) is fine if it's free, advertised honestly, and approved by us in advance for hosts in the Mom Founders program.
- No unsolicited DMs. If a mom doesn't ask for your pitch, don't send it.
- No data scraping. Don't copy, mirror, or extract information about other moms — not for journalism, not for research, not for any commercial purpose.
Technical rules
- No reverse engineering, decompiling, or attempting to derive source code.
- No bots, crawlers, or automated tools accessing the Service.
- No interfering with security features, attempting unauthorized access, or probing for vulnerabilities (responsible security disclosures are welcome at legal@phygtl.com).
- No actions that materially burden our infrastructure.
Violations may lead to a warning, a temporary suspension, or a permanent ban. Severe violations (harassment, doxxing, illegal activity) lead to a permanent ban without warning. We may also report illegal activity to law enforcement.
05Hosting events
Hosting an event on TagAlng is a commitment to other moms. By creating an event, you agree to all of the following:
- Real venue. The location must be a real place with a verifiable address. If it's a public location (park, coffee shop, church), name it accurately. If it's a private location (your home), the address is shared with attendees only after their RSVP is confirmed.
- Real time. The date and time must be accurate.
- You must show up. If you create an event, you are committing to be there. If you cannot make it, cancel the event at least 24 hours in advance and tell your attendees. Repeatedly canceling at the last minute, or no-showing, will get you suspended from hosting and may lead to account termination.
- Honest description. Don't misrepresent who the event is for, what will happen, what it costs, or who else will be there.
- Compliance with venue rules. If you're using a venue, follow its rules. You're responsible for any permits, fees, or permissions the venue requires.
- Safety. You're responsible for the basic safety of an event you host. We are not a guarantor of safety; we don't background-check guests; we don't supervise the event.
- No commercial intent. Hosting an event you've created to sell something to other moms is not allowed.
TagAlng is a platform that helps moms find each other; we are not the organizer of any user-hosted event, we don't endorse it, and we are not responsible for what happens at it. You attend at your own risk, and you host at your own risk.
06RSVP & commit-unlocks-info
TagAlng uses a commit-unlocks-info model. The basic idea: details that matter most (a private address, the exact meeting point, the host's phone for the day-of group thread) are unlocked only after a mom commits to attending. This protects hosts and reduces drive-by curiosity.
When you RSVP "I'm going":
- You're making a real commitment. Show up.
- If you can't make it after RSVP-ing, cancel in the app as soon as you know.
- Repeated no-shows may limit your ability to RSVP to high-demand events.
- You agree to receive event-related communications (SMS and in-app) until the event has passed.
Hosts have the right to approve or decline RSVPs to private events. If you're declined, we will not tell you why and we will not tell the host's other attendees that you were declined.
07Your content
"Your Content" means anything you upload, post, or share on TagAlng: messages, comments, event descriptions, photos, profile information, and so on.
You own your content. By posting it on TagAlng, you give us a worldwide, non-exclusive, royalty-free license to host, store, reproduce, modify (for technical purposes such as resizing photos or translating between English, Portuguese, and Spanish), display, and distribute it as needed to operate and promote the Service. This license lasts only as long as we have your content; when you delete content or delete your account, the license ends, subject to the retention rules in our Privacy Policy.
You promise that the content you post is yours to post, doesn't violate anyone else's rights (copyright, trademark, privacy, publicity), doesn't break any law, and doesn't violate our community guidelines.
We may remove or restrict any content we believe violates these Terms or harms our community, with or without notice. We are not obligated to host any specific piece of content.
08Mom Founders program
The Mom Founders program is our ambassador program for the first cohort of host moms in each launch market. If you're accepted as a Mom Founder, additional terms apply, including specific responsibilities around hosting frequency, community guidelines enforcement, and brand representation. We will communicate those terms to you separately when you accept the role. The Mom Founder role is at-will and non-employment: you are not an employee, contractor, agent, or partner of Phygtl, Inc.
09Paid features & payments
TagAlng is free to use during Day Zero (June 15, 2026 through December 31, 2026). After that, we may introduce paid features. Today, the only planned paid feature is a quiet annual founder-supporter membership (currently $24/year, subject to change) that unlocks specific Mom Founder hosting tools.
If you sign up for a paid feature:
- Charges are processed by a third-party payment processor (e.g., Stripe). Their terms apply to the payment itself.
- Subscriptions renew automatically unless you cancel. You can cancel anytime in the app, and cancellation takes effect at the end of the current billing period.
- Fees are non-refundable except where required by law. If you believe you were billed in error, email legal@phygtl.com within 30 days and we'll look into it.
- Attending events on TagAlng is always free. Hosts may not charge attendees a fee for events on the Service.
10Privacy
Our handling of your personal data is governed by the TagAlng Privacy Policy, which is part of these Terms by reference. Please read it.
Key points that intersect with these Terms: (1) we never display your real legal name to other users by default; (2) we never tell another user that you opted out of matching with them; (3) we don't sell your data; (4) location data is approximate by default.
11Third-party services
TagAlng integrates with a few third parties to function: an SMS carrier (e.g., Twilio), a payment processor (e.g., Stripe), cloud hosting (e.g., AWS or Google Cloud), and app store distribution (Apple App Store, Google Play). Your use of those services is also governed by their terms. We are not responsible for their actions or omissions.
If you access TagAlng through an Apple device, you acknowledge that these Terms are between you and Phygtl, not between you and Apple. Apple is a third-party beneficiary to these Terms only to the limited extent required by Apple's developer rules, and is not responsible for the Service or any claim related to it.
12Our intellectual property
TagAlng, the TagAlng word mark, the TagAlng logo, the Phygtl word mark, the Phygtl logo, the "I × V × A" identity-vicinity-activity framing, and all related branding, design, software, and content provided by us are the property of Phygtl, Inc. and protected by US and international intellectual property laws.
We grant you a personal, limited, non-exclusive, non-transferable, revocable license to access and use the Service for personal, non-commercial purposes. That license ends when these Terms end or when we terminate your account.
You may not copy, modify, distribute, sell, lease, sublicense, or create derivative works of the Service or any part of it. You may not use our trademarks without our prior written permission.
13DMCA / copyright
If you believe content on TagAlng infringes a copyright you own, send a DMCA notice to legal@phygtl.com with the subject line "DMCA Notice." The notice must include:
- A description of the copyrighted work you say has been infringed.
- A link or other clear identification of the allegedly infringing content on TagAlng.
- Your contact information.
- A statement that you have a good-faith belief that the use is not authorized.
- A statement, under penalty of perjury, that the information is accurate and that you are the copyright owner or authorized to act on their behalf.
- Your physical or electronic signature.
We have a policy of terminating accounts of repeat infringers in appropriate circumstances.
14Disclaimers
The Service is provided on an "as is" and "as available" basis. To the maximum extent permitted by applicable law, Phygtl, Inc. and its affiliates, officers, employees, agents, and licensors disclaim all warranties, express or implied, including any warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising out of course of dealing or usage of trade.
We do not warrant that the Service will be uninterrupted, error-free, secure, or that defects will be corrected. We do not warrant the accuracy or completeness of any information on the Service, the conduct of any user, the safety of any event, or that any mom on TagAlng is who she says she is.
You meet other people in real life at your own risk. TagAlng is a platform that helps you find people. It is not your bodyguard, your background-check service, or your insurance. Use your judgment. Tell a friend where you're going. Meet in public when you can.
15Limitation of liability
To the maximum extent permitted by applicable law, in no event will Phygtl, Inc., its affiliates, officers, directors, employees, agents, or licensors be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or other intangible losses, arising out of or related to your use of the Service, even if we have been advised of the possibility of such damages.
To the maximum extent permitted by applicable law, our total cumulative liability to you for any claim arising out of or relating to these Terms or the Service is limited to the greater of: (a) the amount you paid us in the twelve months before the event giving rise to the claim, or (b) one hundred US dollars ($100).
Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above may not apply to you. Nothing in these Terms limits liability that cannot be limited under applicable law.
16Indemnification
You agree to defend, indemnify, and hold harmless Phygtl, Inc. and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with: (a) your use of the Service; (b) your violation of these Terms or our Community Guidelines; (c) your violation of any third-party right, including any intellectual property right, privacy right, or publicity right; (d) any content you post on the Service; or (e) any event you host or attend through the Service.
We reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you. If we do, you agree to cooperate with our defense.
17Dispute resolution
Informal resolution first
Before filing any formal claim, please contact us at legal@phygtl.com and describe the issue. We commit to a good-faith effort to resolve it within 60 days. Most things get sorted out this way.
Binding arbitration
If informal resolution doesn't work, any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Service will be resolved by binding individual arbitration administered by JAMS (or, if JAMS is unavailable, the American Arbitration Association) under its consumer arbitration rules. Arbitration will be conducted in San Francisco, California, or, at your option if you're a consumer, in the county where you live, or remotely by video.
Class-action waiver
You and we each agree that any dispute will be brought in an individual capacity, not as a plaintiff or class member in any purported class, consolidated, or representative action. The arbitrator has no authority to consolidate claims or preside over a class proceeding. If a court finds this class-action waiver unenforceable, then the entire arbitration agreement is null and void as to that claim, and the claim must proceed in court.
30-day opt-out
You can opt out of arbitration and the class-action waiver by emailing legal@phygtl.com with the subject line "Arbitration Opt-Out" within 30 days of first accepting these Terms. Include your name, the phone number associated with your account, and a clear statement that you want to opt out. If you opt out, the rest of these Terms still apply.
Exceptions
This arbitration agreement does not apply to: (a) small-claims-court actions (you or we can file in small claims court); (b) actions to enforce intellectual property rights; (c) any claim that cannot be arbitrated under applicable law.
State-specific carve-outs
- California: nothing in these Terms waives any non-waivable right under California law, including under the California Consumer Legal Remedies Act.
- Florida: nothing in these Terms waives any non-waivable right under Florida consumer-protection law, and the courts of Orange County, Florida (where Lake Nona is located), have non-exclusive jurisdiction over any claim that proceeds in court.
18Governing law
Corporate matters (the existence, governance, and authority of Phygtl, Inc.) are governed by the laws of the State of Delaware.
These Terms and any dispute arising under them are otherwise governed by the laws of the State of California, without regard to its conflict-of-laws rules. Where mandatory consumer-protection law of your home state would otherwise apply, that law also applies and is not waived.
If any dispute is heard in court rather than arbitration, the state and federal courts in San Francisco County, California will have exclusive jurisdiction, subject to the Florida carve-out in Section 17.
19Termination
You can stop using TagAlng at any time. To delete your account, tap "Delete account" in the app's Settings or email privacy@phygtl.com. Your account and most of your data will be removed within 30 days, subject to the retention rules in our Privacy Policy.
We can suspend or terminate your account, with or without notice, if we believe you've violated these Terms, our community guidelines, or any applicable law; if we are required to by law; or if continued service would create an unreasonable risk to us or to other users.
Sections of these Terms that by their nature should survive termination (intellectual property, disclaimers, limitation of liability, indemnification, dispute resolution, governing law, and general provisions) will survive.
20Changes to these terms
We may update these Terms from time to time. When we make a material change, we will update the "last updated" date, post a notice on tagalng.com and inside the app, and notify active users by email or SMS at least 14 days before the change takes effect. If you keep using the Service after the change date, you accept the updated Terms. If you don't accept them, please stop using the Service and delete your account.
21General provisions
Entire agreement. These Terms, together with the Privacy Policy and any program-specific terms (e.g., the Mom Founders program), are the entire agreement between you and Phygtl, Inc. about the Service. They supersede any prior agreement.
Severability. If any provision of these Terms is held invalid or unenforceable, the rest stays in effect, and the invalid provision will be modified to the minimum extent necessary to make it valid.
No waiver. Our failure to enforce any provision is not a waiver of our right to enforce it later.
Assignment. You cannot assign these Terms or any rights under them without our prior written consent. We can assign these Terms freely, including in connection with a merger, acquisition, or sale of assets.
Force majeure. Neither party is liable for any failure or delay caused by events beyond reasonable control (natural disasters, war, civil disturbance, pandemic, governmental action, internet outage).
No agency. These Terms do not create any partnership, joint venture, employment, or agency relationship.
Notices to you. We may send you notices by SMS to the phone number on your account, by in-app notification, or by posting on tagalng.com.
Notices to us. Send legal notices to legal@phygtl.com, with a copy by mail to Phygtl, Inc., Attn: Legal, San Francisco, CA.
Language. These Terms are offered in English, Portuguese (Brazilian), and Spanish. In the event of any conflict between language versions, the English version controls. Translations are provided as a courtesy.
